Procedures for Establishing a Preparatory Committee for the Establishment of an Association under Decree No. 126/2024/ND-CP

In the process of establishing an association under Vietnamese law, many organizations tend to focus primarily on preparing the application dossier for establishment while overlooking a fundamental preliminary step: the establishment of a Preparatory Committee for the establishment of an association. However, pursuant to Decree No. 126/2024/ND-CP, this is not merely a procedural step but a prerequisite condition for the association to be considered for establishment approval. 

In accordance with Decree No. 126/2024/ND-CP, the establishment of a Preparatory Committee must be reviewed, commented on, and formally recognized by a competent state authority. The Preparatory Committee acts as the representative body of the founding members, responsible for preparing the application dossier and organizing the founding congress of the association. 

Accordingly, a proper understanding and compliance with the procedures for establishing the Preparatory Committee are essential to ensuring both the legality and the timeline of the association establishment process. 

Legal Basis  

  • Decree No. 126/2024/ND-CP of the Government on the organization, operation, and management of associations. 

1. Concept of Association and Preparatory Committee

Pursuant to Article 2 of Decree No. 126/2024/ND-CP, an association is defined as a voluntary organization of Vietnamese citizens and organizations sharing common professions, interests, or fields of operation, established for the purpose of uniting members and protecting their lawful rights and interests. Notably, associations operate on a non-profit basis and aim toward community values and sustainable development.  

Pursuant to Article 23 of Decree No. 126/2024/ND-CP, a Preparatory Committee for the establishment of an association is a group of individuals and/or organizations representing the founding members, which is recognized by a competent authority to:  

  • Prepare the dossier for establishment of the association 
  • Mobilize potential members to participate 
  • Organize the founding congress 
  • Carry out necessary preparatory activities prior to official establishment

In practice, the Preparatory Committee serves as the foundational structure ensuring that the establishment of the association is conducted in an organized, well-prepared, and feasible manner. 

2. Conditions for Establishment of the Preparatory Committee

Pursuant to Article 11 of Decree No. 126/2024/ND-CP, the Preparatory Committee shall be recognized when satisfying the following conditions: 

2.1 General conditions 

  • Established by Vietnamese organizations and/or citizens with the intention to form an association 
  • Structured to include a Head, Deputy Head(s), and members 

2.2 Conditions applicable to members of the Preparatory Committee 

For organizations: 

  • Legally established 
  • Possessing a charter or a document defining functions and duties 
  • Having a written application to participate in the Preparatory Committee 
  • Having a resolution or decision of the competent authority appointing a representative 
  • The appointed representative must be a Vietnamese citizen, possess full civil act capacity, be in good health, and have no criminal record 

For individuals (Note: Public officials, civil servants, and public employees must obtain written consent from competent authorities): 

  • Having a written application to participate 
  • Having full civil act capacity 
  • Being in good health 
  • Having no criminal record 

2.3 Conditions applicable to the Head of the Preparatory Committee 

  • Possessing good political and ethical qualities 
  • Having credibility and relevant experience 
  • Having expertise and understanding in the relevant field 
  • Residing in Vietnam

2.4 Conditions on the number of members  

  • National or inter-provincial scope: at least 10 members 
  • Provincial scope: at least 05 members 
  • District or commune scope: at least 03 members 

3. Application dossier for recognition of the Preparatory Committee

Pursuant to Clause 1 Article 12 of Decree No. 126/2024/ND-CP, the dossier comprises: 

  • Original application for recognition of the Preparatory Committee, clearly stating: 
  • Name of the association 
  • Necessity of establishment 
  • Principles and objectives 
  • Main field of operation 
  • Scope of operation 
  • Expected timeline for establishment 
  • Temporary meeting location 
  • Original summary list of proposed members of the Preparatory Committee, including: 
  • Full name, date of birth, place of origin 
  • Educational and professional qualifications 
  • Position and workplace (if any) 
  • Role in the Preparatory Committee 
  • Permanent or temporary residence address 
  • Contact information 
  • Relevant supporting documents 
  • Curriculum vitae and Judicial Record Card No. 1 of members (original, issued within the last 06 months).Not required for public officials, civil servants, or public employees who have obtained written approval.  
  • Written approval from competent authorities (if applicable to public officials, civil servants, or public employees) 

4. Procedures for recognition of the Preparatory Committee

Pursuant to Clauses 2 and 3 Article 12 of Decree No. 126/2024/ND-CP:  

Step 1: Preparation and submission of dossier 

  • Founding members prepare the dossier in accordance with regulations 
  • Submit to the competent authority 

Step 2: Determination of competent authority 

  • Ministers or heads of ministerial-level agencies: for national or inter-provincial associations 
  • Chairpersons of provincial People’s Committees: for provincial associations 
  • Chairpersons of district-level People’s Committees: for district/commune associations 

Step 3: Appraisal of dossier 

  • The competent authority: 
  • Seeks opinions from relevant agencies 
  • Assesses the validity and necessity of the establishment 

Step 4: Decision on recognition 

  • Within 30 working days from receipt of a complete and valid dossier: 
  • Issue a decision recognizing the Preparatory Committee; or 
  • Provide a written refusal stating clear reasons 

5. Responsibilities and validity of the Preparatory Committee

  • The Preparatory Committee is responsible for: 
  • Mobilizing organizations and individuals to participate in the establishment of the association pursuant to Clause 6 Article 10 of the Decree 
  • Within 12 months from the effective date of the recognition decision, completing and submitting the dossier for establishment of the association in accordance with Clause 1 Article 13 
  • The Preparatory Committee shall automatically dissolve after the founding congress elects the Executive Committee of the association 

Conclusion 

Under Decree No. 126/2024/ND-CP, the establishment of a Preparatory Committee constitutes a decisive initial step in the overall process of forming an association. This stage provides the legal basis for competent authorities to assess the necessity, suitability, and organizational feasibility of the proposed association. 

In practice, the quality of the Preparatory Committee, reflected through its composition, operational orientation, and the completeness of its dossier, has a direct impact on the appraisal outcome. Proper and compliant preparation at this stage helps minimize the need for repeated amendments and shortens the processing time. 

Therefore, organizations and individuals intending to establish an association should approach the formation of the Preparatory Committee in a structured, prudent, and legally compliant manner to ensure a solid foundation for subsequent procedures.
