Update on Regulations on Beneficial Ownership from 23 July 2026

The Ministry of Finance has issued Decree No. 296/2026/ND-CP dated July 23th, 2026, which amends, supplements, and tightens regulations concerning the beneficial ownership of enterprises. 

1. Definition and Identification of “Beneficial Owner” 

  • A beneficial owner of an enterprise is one or more individuals who directly or indirectly ultimately own or exercise actual control over such enterprise, excluding individuals representing state capital in the enterprise. 
  • A beneficial owner is one or more individuals identified as follows: 
  • An individual who directly or indirectly, or both directly and indirectly, owns 25% or more of the charter capital or 25% or more of the total voting shares of the enterprise.
  • An indirect beneficial owner is an individual who owns 25% or more of the charter capital or 25% or more of the total voting shares of the enterprise through organizations or other legal arrangements.
  • Where a group of individuals who have a family relationship as prescribed in Clause 22, Article 4 of the Law on Enterprises, or who jointly own, pursuant to a contract, directly or indirectly, or both directly and indirectly, 25% or more of the charter capital or 25% or more of the total voting shares of the enterprise, the enterprise shall identify the individuals in such group as its beneficial owners. 
  • For a partnership, all general partners are beneficial owners of the enterprise, regardless of their percentage of charter capital contribution or voting rights in the enterprise. 
  • Where the above ownership criteria are not satisfied, the enterprise may identify its beneficial owner based on an individual or organization having actual control over the exercise of one or more of the following rights: 

The right to appoint, dismiss, or remove a majority or all members or the Chairperson of the Board of Directors; a majority or all members or the Chairperson of the Members’ Council; the Director or General Director; amend or supplement the enterprise’s charter; change the organizational structure; decide on the enterprise’s financial, investment, and operational policies; or reorganize or dissolve the enterprise. 

  • Where no individual satisfies the two criteria above regarding ownership and actual controlling rights, the enterprise shall identify an individual who is the enterprise manager with the greatest authority to act on behalf of the enterprise, except for an individual representing state capital in the enterprise. 

2. Principles for Declaration and Notification of Beneficial Ownership Information 

  • The enterprise founder and the enterprise are responsible for identifying, declaring, and notifying the Business Registration Authority of the enterprise’s beneficial owner where the relevant criteria are satisfied. 
  • Beneficial ownership information shall be declared in the following order: 
  • The enterprise founder or the enterprise shall declare and notify the Business Registration Authority of the information of the individual who satisfies the ownership criterion. 
  • Where an individual does not satisfy the ownership criterion, or there are grounds to establish that an individual identified under this criterion is not the beneficial owner of the enterprise, the enterprise founder or the enterprise shall declare and notify the Business Registration Authority of the information of one or more individuals who satisfy the actual controlling rights criterion. 
  • Where no individual satisfies the criteria regarding ownership and actual controlling rights, the enterprise founder or the enterprise shall declare and notify the Business Registration Authority of the information of the individual who is the enterprise manager with the greatest authority to act on behalf of the enterprise, except for an individual representing state capital in the enterprise. 

3. Dossier and Procedures for Notifying Changes to Beneficial Ownership Information and Notifying Information for the Identification of Beneficial Owners 

3.1. Dossier Components

  • Notification of changes to enterprise registration contents. 
  • List of beneficial owners of the enterprise. 

3.2. Procedures 

  • Within 10 days from the date on which there is any change in the beneficial ownership information of the enterprise or in the ownership percentage of a beneficial owner previously declared to the Business Registration Authority, the enterprise shall submit one dossier of notification.
  • Upon receipt of the dossier, the provincial-level Business Registration Authority shall issue a receipt for the dossier and an appointment for the return of results, and update the information in the National Business Registration Information System within one working day from the date of receipt of a valid dossier. 
  • At the enterprise’s request, the provincial-level Business Registration Authority shall issue a Certificate of Changes to Enterprise Registration Contents to the enterprise
